Welcome to Xetile. These Terms of Service ("Terms") govern your access to and use of our B2B e-commerce platform for trading shirts in collaboration with multiple brands. By accessing or using our website, you agree to comply with these Terms and all applicable Indian laws and regulations.

1. Acceptance of Terms

By using Xetile, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If you do not agree, please do not use our services.

2. Eligibility & Account Registration

• Use of this platform is restricted to businesses and authorized representatives who are at least 18 years old and legally capable of entering into binding contracts under Indian law.
• You must provide accurate, complete, and up-to-date information during registration and keep your account information updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Intellectual Property

• All content, trademarks, logos, and intellectual property on Xetile are owned by us or our licensors, unless otherwise stated.
• You may not use, reproduce, distribute, or create derivative works from any content without our prior written consent.

4. User Obligations & Restrictions

• You agree to use the platform only for lawful B2B purposes and in accordance with these Terms.
• You must not:
  • Violate any applicable laws or regulations.
  • Infringe intellectual property or proprietary rights.
  • Transmit any harmful, offensive, or unlawful content.
  • Attempt unauthorized access to the platform or user accounts.
  • Engage in data mining, scraping, or similar activities.
  • Impersonate any person or entity, or misrepresent your affiliation.

5. Orders, Pricing & Payment

• All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our discretion.
• Prices are subject to change without notice. Payment for orders will be collected manually after order placement, as communicated by our team. No online payment is required at the time of checkout.

6. Returns, Refunds & Cancellations

• Order Cancellation: You may cancel your order at any time before it is shipped. Once the order status changes to "Shipped," cancellation is no longer possible.
• Returns: We offer a 10-day return policy from the date your order was placed. To be eligible for a return, the product must be unused, in its original packaging, and in the same condition as received. Please contact our Customer Support at support@xetile.com to initiate a return.
• Refunds: If your cancellation or return is approved, only the amount actually paid by you will be refunded. Refunds will be processed either to your original payment method or to your bank account, within 30 days after approval.
• All requests for cancellations, returns, or refunds are subject to review and approval by Xetile. Xetile reserves the right to make the final decision on all such requests.

7. Limitation of Liability

• To the maximum extent permitted by law, Xetile and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
• Our total liability for any claim arising out of or relating to these Terms or your use of the platform shall not exceed the amount paid by you for the relevant order.

8. Indemnification

• You agree to indemnify and hold harmless Xetile, its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your breach of these Terms or violation of any law.

9. Third-Party Links & Services

• Our platform may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or accuracy of third-party sites.
• Accessing third-party sites is at your own risk. Please review their terms and policies before using their services.

10. Termination

• We may suspend or terminate your access to the platform at any time, with or without notice, for any violation of these Terms or applicable law.
• Upon termination, your right to use the platform will immediately cease.

11. Changes to Terms

• We may update these Terms from time to time. Changes will be posted on this page with the effective date.
• Your continued use of the platform after changes constitutes acceptance of the new Terms.

12. Governing Law & Jurisdiction

• These Terms are governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, India.
